Lionel Names New Chief Executive Officer

New York, October 12, 2001 – Lionel L.L.C. announced today the appointment of William L. Bracy as Chief Executive Officer. He will assume his new position as of October 15, 2001.

Mr. Bracy was most recently President and COO of Bell Sports. During his three year-tenure with Bell Sports, he significantly reduced overhead, improved productivity, while greatly increasing sales and profits. Prior to Bell Sports, Mr. Bracy was Executive Vice President of Mattel in charge of their European businesses. Before Mattel, he was President of Lenox Brands during which time Lenox expanded their china, crystal and silver businesses into numerous gift and collectibles categories.

Early in his career, Mr. Bracy was on the corporate financial staff of General Mills, conducting a broad range of acquisition and business analyses. Two years later, Mr. Bracy joined Fundimensions in Michigan which was a hobby/craft subsidiary of General Mills, including Lionel. There he worked closely with operating managers on their financial reporting and new product development activities. In December 1976, Mr. Bracy was appointed product manager, responsible for Lionel Power PassersÒ and MPC model kits. He later went on to become assistant controller for the company.

"We are very pleased that Bill has decided to return to Lionel where we expect he will be a very powerful leader of our executive team," said Greg Feldman, Managing Partner of Wellspring Associates L.L.C., owners of Lionel L.L.C. "His strong financial management, operational discipline, and leadership skills, combined with his experience at successful and profitable companies will contribute significantly to leading Lionel into its next phase of growth."

Bracy said, "I'm excited to return to Lionel after twenty plus years. Throughout that time, I've followed the innovative introductions of product and technology. I’m looking forward to working with Dick Maddox over the coming months to achieve a smooth transition. We've discussed the significant interest and investment so many customers, collectors, and operators have in Lionel. As our company now enters its second century, our objectives will focus on ongoing improvement in products and services to make owners and operators even more enthusiastic about Lionel trains."

Lionel Announces Western Pacific F-3 AA Replacement Shell Program

Lionel LLC is pleased to announce the availability of our new Western Pacific F-3 A-A fully decorated replacement shells. These new shells will fit perfectly on your existing F-3 chassis. We know that some customers were disappointed with the decoration on the original Postwar Celebration Series # 6-18191 Western Pacific F-3 A-A set, produced and sold in 1998 and 1999. That’s why we are very happy to offer you this opportunity to replace your existing shells with these beautifully decorated pieces.

The new shells feature:

* Full color, painted Western Pacific winged logo on the nose of each “A” unit
* Painted silver body with orange stripe that matches perfectly with the previously produced 6-18197 and 6-18198 Western Pacific “B” units
* Addition of the Postwar nose grab irons and removal of the three small ribs along the bottom of each unit


The new shells are fully decorated, including the rotating fan volume control knob, horns, metal vent screens, headlight & porthole lenses, windshields, engineer & fireman figures and number boards and ladders. They come with all the necessary electrical connections, too. The package with the two shells will also contain an instruction sheet that explains how to connect everything to your chassis. A Phillips head screwdriver is the only tool required.

We are offering three options to take advantage of this program:

1. By completing the order form and mailing it to Lionel with your payment, a pair of these replacement shells may be purchased directly from Lionel without requiring exchange of your current shells. Credit Card orders may be placed by faxing the order form to (586) 949-5429 or calling Lionel at (586) 949-4100 X1300, Mon- Fri., 8 am. to 5 pm. ET. A set of replacement A-A shells will be shipped to you in April 2002.

2. For those who wish to exchange their existing shells, please complete the accompanying order form and mail, fax or call Lionel at (586) 949-4100 X1300, Mon- Fri., 8 am to 5 pm ET to request a Return Authorization to return your old shells to us. A set of replacement A-A shells will be shipped free of charge in April 2002.

3. For those customers who want Lionel to remove the existing shells and assemble new ones on their chassis, please complete the accompanying order form and mail, fax or call Lionel at (586)949-4100 x 1300 Mon.-Fri., 8 am to 5 pm ET to request a Return Authorization to return your complete F-3’s to us. A new set of shells, mounted to your chassis, will be shipped free of charge in May 2002.

You may choose to exchange your existing shells and also purchase new shells. In that case, please indicate these options on the order form or when contacting Lionel. Orders or requests for Return Authorizations must be received by November 30th, 2001. Any orders received after the deadline are subject to product availability. Replacement shells will be available, and will be shipped in April 2002. We suggest waiting until March 2002 to return your shells or complete locomotives to us, using your Return Authorization. Please do not return your shells to us in their product cartons.
